End User License Agreement (EULA)
This End User License Agreement ("Agreement") is a legally binding contract between you ("User", "Licensee", "you") and THETECHBRAIN LTD ("Licensor", "we", "us", "our") governing your use of the software, application, or digital product ("Software") made available at https://accessibilityaudit.dev.
By installing, accessing, or using the Software, you represent that you have read, understood, and agree to be bound by this Agreement and our Privacy Policy. If you do not agree, do not install or use the Software.
AI Component & EU AI Act Notice
This Software incorporates artificial intelligence features that generate text. By using the Software, you acknowledge and agree to the following:
- You are interacting with an AI system. Outputs are generated algorithmically and are not human-authored
- AI outputs are generated and delivered to you fully automatically without human review before delivery.
- AI Outputs may be inaccurate, incomplete, or unsuitable for your intended use. You are solely responsible for verifying Outputs before relying on them
- Your inputs may be used to improve the AI model, subject to your consent settings.
- You agree not to use the AI features for any purpose prohibited under Article 5 of the EU AI Act, including manipulation, social scoring, or biometric surveillance
- THETECHBRAIN LTD uses third-party to power its AI features. Your Inputs may be transmitted to third-party's servers to generate outputs and are subject to third-party's data processing terms in addition to ours.
If you are located in the European Economic Area, the AI features of this Software are provided subject to the EU AI Act (Regulation (EU) 2024/1689). You have the right to request information about how the AI system works and to seek human review of outputs that affect significant decisions by contacting legal@visionvix.com.
1. Grant of License
Subject to your compliance with this Agreement, THETECHBRAIN LTD grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to install and use the Software on a single device owned or controlled by you, solely for your personal or internal business purposes.
2. Restrictions
Except as expressly permitted in this Agreement, you may not:
- Copy, modify, adapt, translate, or create derivative works based on the Software
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software
- Rent, lease, lend, sell, sublicense, assign, distribute, or otherwise transfer the Software to any third party
- Remove, alter, or obscure any copyright, trademark, or other proprietary rights notice in the Software
- Use the Software to develop a competing product or service
- Use the Software for any unlawful purpose or in any manner that violates applicable law or regulation
- Use the Software to process data you do not have the right to process
3. Ownership and Reservation of Rights
The Software is licensed, not sold. THETECHBRAIN LTD and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. All rights not expressly granted in this Agreement are reserved by THETECHBRAIN LTD. No title or ownership of the Software is transferred by this Agreement.
4. Updates, Upgrades, and Support
THETECHBRAIN LTD may, at its sole discretion, provide updates, patches, bug fixes, or new versions of the Software ("Updates"). Updates may be delivered automatically or may require manual installation. Certain Updates may be required to continue using the Software. THETECHBRAIN LTD has no obligation to provide Updates, ongoing support, or maintenance unless otherwise agreed in writing.
5. Feedback
If you provide THETECHBRAIN LTD with any suggestions, ideas, or feedback about the Software ("Feedback"), you grant THETECHBRAIN LTD a worldwide, perpetual, irrevocable, royalty-free licence to use and incorporate that Feedback into the Software or any other THETECHBRAIN LTD products or services without any obligation to you.
6. Privacy and Data
Your use of the Software may involve the collection and processing of personal data. Please review our Privacy Policy to understand how we collect, use, and protect your data.
7. Termination
This Agreement is effective from the date you first use the Software and continues until terminated. THETECHBRAIN LTD may terminate this Agreement immediately if you breach any of its terms. You may terminate this Agreement at any time by uninstalling and permanently deleting all copies of the Software from your devices. Upon termination for any reason: (a) the licence granted under this Agreement immediately terminates; (b) you must cease all use of the Software and destroy all copies; and (c) provisions of this Agreement that by their nature survive termination will remain in full force.
8. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. THETECHBRAIN LTD SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. THETECHBRAIN LTD DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, OR BE ERROR-FREE.
9. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL THETECHBRAIN LTD, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES OF ANY KIND, INCLUDING LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO THETECHBRAIN LTD IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
10. Indemnification
You agree to indemnify, defend, and hold harmless THETECHBRAIN LTD and its officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, judgements, losses, costs, expenses, and fees (including reasonable legal fees) arising out of or relating to (a) your use of the Software in violation of this Agreement; (b) your violation of any third-party right; or (c) your violation of any applicable law.
11. Governing Law and Dispute Resolution
This Agreement and any dispute arising out of or in connection with it shall be governed by applicable law. The parties agree to attempt to resolve any dispute informally first by contacting THETECHBRAIN LTD at legal@visionvix.com. If informal resolution fails, disputes shall be resolved through binding arbitration or in the courts of the jurisdiction where THETECHBRAIN LTD is domiciled, as elected by THETECHBRAIN LTD.
12. Entire Agreement and Amendments
This Agreement, together with the Privacy Policy and any other terms incorporated by reference, constitutes the entire agreement between you and THETECHBRAIN LTD with respect to the Software and supersedes all prior or contemporaneous understandings. THETECHBRAIN LTD reserves the right to modify this Agreement at any time. We will notify you of material changes by posting an updated version. Your continued use of the Software after any changes constitutes acceptance of the updated Agreement.
