2. Eligibility and Account Registration

To use certain features of the Services, you may need to register for an account. You agree to:

• Provide accurate, current, and complete information during registration and keep it updated
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activity that occurs under your account
• Notify us immediately of any unauthorised use of your account at legal@visionvix.com
• Not create an account if you have previously been banned from our Services

We reserve the right to suspend or terminate accounts that contain false information or violate these Terms.

You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not:

3. Prohibited Uses

You may not use THETECHBRAIN LTD to generate content that:

• Is illegal, harmful, abusive, or violates the rights of others
• Creates non-consensual intimate imagery or "deepfakes" of real people
• Impersonates real individuals, brands, or organisations deceptively
• Spreads disinformation, fake news, or manipulative propaganda
• Facilitates phishing, fraud, or social engineering attacks
• Violates intellectual property rights of third parties
• Targets minors with inappropriate content
• Circumvents safety filters or attempts to "jailbreak" the AI

The following uses are additionally prohibited under Article 5 of the EU AI Act:

• Subliminal techniques that manipulate behaviour without the person's awareness
• Exploitation of vulnerabilities of specific groups (age, disability, social situation)
• Social scoring or evaluation of natural persons by public authorities
• Real-time remote biometric identification in publicly accessible spaces
• Emotion recognition in workplace or educational settings
• Biometric categorisation based on sensitive characteristics

4. Intellectual Property Rights

The Services and all content, features, and functionality — including but not limited to text, graphics, logos, icons, images, audio clips, software, and the overall design — are owned by THETECHBRAIN LTD or its licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your personal or internal business purposes. This licence does not include the right to:

• Reproduce, distribute, or publicly display any content from the Services without our prior written consent
• Create derivative works based on the Services or any part of them
• Use any data mining, robots, or similar data gathering or extraction tools
• Remove or alter any copyright, trademark, or other proprietary notices

5. User Content

Some parts of the Services allow you to submit, upload, or post content ("User Content"). You retain ownership of your User Content, but by submitting it you grant THETECHBRAIN LTD a worldwide, non-exclusive, royalty-free, perpetual licence to use, reproduce, modify, adapt, publish, translate, and distribute it in connection with operating and improving the Services.

You represent and warrant that: (a) you own your User Content or have the necessary rights to grant the above licence; (b) your User Content does not violate the rights of any third party; and (c) your User Content complies with these Terms and all applicable laws.

We reserve the right to remove any User Content at any time without notice if we believe it violates these Terms or is otherwise objectionable.

5. Ownership of AI Outputs

THETECHBRAIN LTD retains all rights in the text generated by the platform. You receive a limited, non-exclusive licence to use Outputs for the purposes permitted under your subscription plan. You may not claim copyright over AI-generated Outputs.

6. No Warranty on Outputs

AI-generated text may be inaccurate, incomplete, or inappropriate. THETECHBRAIN LTD makes no warranty regarding the accuracy, quality, or fitness for purpose of any Output. You are solely responsible for reviewing and verifying Outputs before use, particularly in professional, legal, medical, or financial contexts.

7. Commercial Use of Outputs

Commercial use rights depend on your subscription plan — see your plan details for permitted uses.

8. EU AI Act Transparency & Compliance

THETECHBRAIN LTD provides an AI system and is subject to Regulation (EU) 2024/1689 (the EU AI Act). The following disclosures are made in accordance with our transparency obligations:

• AI system disclosure: THETECHBRAIN LTD uses artificial intelligence to generate text. You are always interacting with an AI system, not a human, unless explicitly stated otherwise
• Risk classification: Our AI system is classified as a limited-risk system under the EU AI Act, primarily subject to transparency and information obligations under Article 50
• Third-party AI: THETECHBRAIN LTD uses third-party to power its AI features. Your Inputs may be transmitted to third-party's servers to generate outputs and are subject to third-party's data processing terms in addition to ours.
• Human oversight: AI outputs are generated and delivered to you fully automatically without human review before delivery. We maintain internal procedures to monitor AI output quality and safety
• AI literacy: We commit to providing users with sufficient information to understand the capabilities and limitations of our AI system
• Accuracy disclaimer: AI-generated text may contain errors. THETECHBRAIN LTD is not liable for decisions made on the basis of AI outputs without independent human verification

The Services may contain links to third-party websites, services, or content that are not owned or controlled by THETECHBRAIN LTD. We strongly advise you to read the terms and privacy policy of any third-party site you visit.

9. Privacy

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the data practices described in our Privacy Policy.

10. Disclaimers and Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

AI-GENERATED OUTPUTS ARE PROVIDED WITHOUT WARRANTY OF ACCURACY, COMPLETENESS, RELIABILITY, OR FITNESS FOR ANY PARTICULAR PURPOSE. OUTPUTS MAY CONTAIN ERRORS, INACCURACIES, OR CONTENT THAT IS HARMFUL, OFFENSIVE, OR OTHERWISE OBJECTIONABLE. THETECHBRAIN LTD EXPRESSLY DISCLAIMS ANY LIABILITY FOR DECISIONS MADE IN RELIANCE ON AI-GENERATED CONTENT.

THETECHBRAIN LTD does not warrant that: (a) the Services will meet your specific requirements; (b) the results obtained from the use of the Services will be accurate or reliable; or (c) any errors in the Services will be corrected.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THETECHBRAIN LTD, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR:

• Any indirect, incidental, special, consequential, punitive, or exemplary damages
• Loss of profits, revenue, data, business, or goodwill
• The cost of substitute services
• Any damages arising from your use of or inability to use the Services
• Any damages arising from reliance on AI-generated content for professional, legal, medical, financial, or other decisions

IN JURISDICTIONS THAT DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATION OF LIABILITY, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW. IN ALL CASES, OUR TOTAL AGGREGATE LIABILITY TO YOU SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS (USD $100).

12. Indemnification

You agree to defend, indemnify, and hold harmless THETECHBRAIN LTD and its officers, directors, employees, contractors, agents, licensors, and service providers from and against any claims, liabilities, damages, judgements, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your use of the Services in violation of these Terms
• Your User Content
• Your violation of any third-party rights, including intellectual property, privacy, or publicity rights
• Your violation of any applicable law or regulation

13. Dispute Resolution

If you have a dispute with THETECHBRAIN LTD, we encourage you to contact us first at legal@visionvix.com to attempt to resolve the matter informally. Most disputes can be resolved quickly and to mutual satisfaction through direct communication.

If a dispute cannot be resolved informally within 30 days, either party may pursue the dispute through binding arbitration or in the courts of the applicable jurisdiction. You agree that any dispute resolution proceedings will be conducted on an individual basis and not as part of a class, consolidated, or representative action.

14. Force Majeure

THETECHBRAIN LTD shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, terrorism, riots, government actions, internet service provider failures, cyberattacks, power outages, or any other force majeure events.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by:

• Updating the "Last updated" date at the top of these Terms
• Sending an email notification to registered users
• Posting a prominent notice on the Site

Your continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Services.

16. Termination

We may terminate or suspend your access to all or part of the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will immediately cease.

All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
